1. Acceptance of Terms
By accessing or using the MuniGrowth platform (the “Platform”), you agree to these Terms of Service (“Terms”) on behalf of your municipality, regional authority, NGO, donor organization, or other contracting entity (“Organization”). If you do not have authority to bind your Organization, you must not use the Platform.
Individual users act as authorized representatives of their Organization. Your Organization is responsible for all activity under its tenant workspace and user accounts.
Fictional Content Disclaimer
All municipality names, personal names, organisations, projects, case studies, data, and any other content appearing on this website or within the MuniGrowth platform (including demonstration accounts) are entirely fictional and created solely for illustrative and demonstration purposes. This includes but is not limited to: "Cedar Bay," its officials, projects, financial data, and stakeholder information.
Any resemblance to real persons, living or dead, real organisations, municipalities, or actual events is purely coincidental and unintentional.
2. Description of Service
MuniGrowth provides a cloud-based software platform for local economic development (LED) planning, grant intelligence, project development, document generation, and AI-assisted municipal strategy. Features may include LED plan workflows, grant matching, exports (PDF/DOCX), collaboration tools, billing, and optional AI coaching.
We may modify, suspend, or discontinue features with reasonable notice where practicable. Beta or preview features may be offered “as is” without separate warranties.
3. Account Registration and Access
- Accounts may be created by authorized municipal officials, economic development professionals, or other users invited by an Organization administrator or by MuniGrowth during onboarding.
- The Organization (typically the municipality) is the contracting entity for subscription and data protection purposes.
- Each user is responsible for safeguarding credentials, enabling multi-factor authentication where available, and promptly reporting suspected unauthorized access.
- Unless otherwise agreed in writing, one primary tenant workspace per municipality is standard; additional workspaces require a separate agreement.
- You must provide accurate registration information and keep it current.
4. Subscription and Payment Terms
Access to paid features requires an active subscription or enterprise contract. Plan features, limits, and pricing are described on our pricing page or in your order form.
- Payment processing: Self-serve subscriptions are processed by Dodo Payments (or another designated payment processor). By subscribing, you also agree to applicable processor terms.
- Billing cycle: Monthly or annual billing as selected at checkout or specified in your contract.
- Auto-renewal: Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel through account settings or by contacting us.
- Price changes: We may change list prices with at least 30 days’ notice before the change applies to your next renewal. Continued use after the effective date constitutes acceptance of the new price for the renewal term.
- Taxes: Fees are exclusive of applicable taxes, duties, or levies unless stated otherwise. You are responsible for taxes associated with your purchase, excluding taxes based on MuniGrowth’s net income.
5. Cancellation and Refund Policy
Cancellation
You may cancel self-serve subscriptions through billing settings or by emailing contact@munigrowth.com. Cancellation stops future renewals; access generally continues until the end of the current paid period.
Effect on data
After cancellation, you may export your data during the retention period described in our Privacy Policy. We recommend exporting LED plans, projects, and grant materials before closure.
Refunds
- Annual plans: Pro-rata refund within 14 days of initial payment if you have not materially used export or submission features (determined reasonably by MuniGrowth). After 14 days, fees are non-refundable except where required by law.
- Monthly plans: No mid-cycle refunds; service continues through the paid month.
- Enterprise / manual contracts: Refunds and termination are governed by the signed agreement.
6. Acceptable Use Policy
You agree not to:
- Submit false, misleading, or unauthorized municipal data;
- Use the Platform for purposes unrelated to legitimate economic development, grant, or municipal planning activities;
- Share credentials across municipalities or allow unauthorized third parties to access your tenant;
- Attempt to access another tenant’s data or circumvent security controls;
- Rely on AI outputs in official submissions without qualified human review;
- Resell, sublicense, or white-label the Platform without written consent;
- Scrape, harvest, or systematically download the grant database or other proprietary content;
- Upload malware, unlawful content, or material that infringes third-party rights.
We may suspend accounts that violate this policy after notice where appropriate.
7. Artificial Intelligence Disclaimer
MuniGrowth uses artificial intelligence (including models routed via OpenRouter) to assist with economic development planning, grant matching, and document generation. You acknowledge and agree:
(a) AI accuracy: AI-generated content—including grant applications, LED plans, project assessments, and strategic recommendations—is produced algorithmically and may contain errors, inaccuracies, or omissions.
(b) Human review required: All AI-generated content must be reviewed, validated, and approved by qualified human professionals before submission to any donor, government body, council, or third party.
(c) Not professional advice: AI-generated content does not constitute legal, financial, economic, audit, or other professional advisory services.
(d) Grant outcomes: MuniGrowth does not guarantee approval of any grant application. Match scores and eligibility indicators are estimates only.
(e) User responsibility: Your Organization bears full responsibility for data entered into the Platform and for decisions made based on AI outputs.

8. Intellectual Property
- The Platform, software, branding, and documentation are owned by MuniGrowth or its licensors.
- Your Organization retains ownership of data and content you upload.
- Outputs generated from your Organization’s data are licensed to you for internal and official municipal use, subject to these Terms.
- You grant MuniGrowth a limited license to host, process, and display your content solely to provide the service.
- MuniGrowth may use anonymized, aggregated usage statistics to improve the Platform. We do not share identifiable municipality data with other tenants.
9. Data and Privacy
Processing of personal data is described in our Privacy Policy. EU/EEA municipalities may require a Data Processing Agreement (DPA).
Production data is hosted on infrastructure operated by MuniGrowth (currently VPS hosting in Lebanon, subject to change with notice). Backups are performed on a scheduled basis; recovery points and procedures are described in our Trust materials and enterprise SLA where applicable.
9.1 Data Ownership
Your municipality retains full ownership of all data you enter into MuniGrowth, including LED plans, assessments, stakeholder records, impact frameworks, and proposals. MuniGrowth acts as a data processor on your behalf and will never use your data for any purpose other than providing the MuniGrowth service.
9.2 Data Processing Agreement
By using MuniGrowth, you enter into a Data Processing Agreement (DPA) with MuniGrowth. The DPA governs how we handle your municipal data in accordance with applicable data protection law. A copy of our DPA is available at https://munigrowth.com/dpa/ and on this site at /legal/dpa/.
10. Uptime and Service Levels
MuniGrowth targets 99.9% monthly uptime, excluding scheduled maintenance, emergency maintenance, and force majeure events. This target is an operational goal and does not create a contractual obligation unless specified in a signed Enterprise SLA.

11. Limitation of Liability
To the maximum extent permitted by applicable law, MuniGrowth’s total aggregate liability to your Organization for any claims arising from or related to the Platform shall not exceed the amounts paid by your Organization to MuniGrowth in the twelve (12) months preceding the event giving rise to the claim.
MuniGrowth shall not be liable for:
- Loss of grant funding, investment, or economic opportunity;
- Decisions made based on AI-generated content or Platform analytics;
- Indirect, consequential, incidental, special, or punitive damages;
- Data loss beyond committed backup recovery points;
- Service interruptions caused by third-party providers (AI routing, payment processors, hosting, telecommunications).
Some jurisdictions do not allow certain limitations; in those cases, limitations apply to the fullest extent permitted by law.
12. Third-Party Services
The Platform integrates with third-party services, including:
- OpenRouter — AI model routing (openrouter.ai/terms);
- Dodo Payments — payment processing (dodopayments.com/terms);
- LibreTranslate — translation (self-hosted on our infrastructure; translated text is not sent to external translation SaaS);
- Sentry — error monitoring (sentry.io/terms).
Your use of those services may be subject to their terms and privacy policies.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of Lebanon, without regard to conflict-of-law principles, subject to mandatory consumer or public-sector protections in your jurisdiction.
Parties will attempt to resolve disputes through good-faith negotiation. Enterprise customers may specify alternative jurisdiction or arbitration in their signed agreement.
14. Changes to Terms
We may update these Terms. Material changes will be notified at least 30 days before they take effect via email to the account administrator and/or a prominent notice on the Platform. Continued use after the effective date constitutes acceptance.
